Looks good to me. For what you're using it for the AMD will certain suffice, and face it 60 quid for both the board and chip, it's hardly busting the bank, and it still gives you room to slap a much faster AM2 processor in it in future should you feel the need.
The graphics card - it's only 25 quid but is there a version with less ram? the 1gb on that is merely for marketing purposes rather than performance, but I won't imagine a lesser version will be much cheaper.
It'll work well - you got HDD's and optical drives lined up?

Yeah i have a harddisk and 2 DVD drives ready i can get a retail ATHLON 64 X2 5400+ 2.8GHZ PIB SKT AM2 2X512KB FSB1000 65W for £43.73 Which is not much more than the Processor and Fan i looked at.

Can also get a RADEON X1650 PRO 512MB DDR2 PCI-E DUAL DVI-I TVO L-RETAIL for £25 is that a better option?

Graphics card: no, stick with the original.
The uprated processor: yeah I saw that sort of price on Ebuyer but wasnt sure if you needed it for the extra 20 quid. You'll probably notice the difference if you intend to encode DVDs and the likes though.
