A question regarding upgrading

Im thinking of buying a new motherboard, processor and HD, when thats all set up, can I just slave my old HD to my new one and transfer all my files, or will the OS on the second HD interfere with the new HD.

Yep, that should be no worries at all. Just make sure the boot order is CDROM -> Primary Harddisc and the PC won't even look at your old drive until Windows is running.

If when booting the CD, XP setup spots the old install on your old drive, just tell it to ignore and continue.

Guess that won't matter.

I think there is a settings transfer wizard on XP where you can move everything accross from the old install, never used it tho.
