Lord of the Rings came in for some criticism because of its "very close" violation of the PG rating, I think it was the scene with the decapitation of the chief orc that did it, and earned it an additional warning in addition to the rating.
Surprizingly, AOtC did not get the same attention even though a decapitation occurs, that of Janga Fett to Mace Windu's lightsabre, coupled with the scene where the young Bobba picks it up.
Now, Spider-Man seems to have come under the same sort of criticism, being very close to violating its 12 rating.
But what must be the ultimate scare is the upcoming Powerpuff Girls Movie, which, believe it or not, has the same PG rating with "some material may not be suitable for children" warning as LotR !
