Usually the retail ones are boxed in flash boxes with drivers and manual enclosed.

OEM ones tend to be in plain boxes and you have to download drivers and manuals.

Actually with OEM ones you usually get drivers and manuals. You simply don't get the flashy retail box or any extra software (games etc) which is promised in the retail version.
